CASE STUDY - Due Diligence Assistance for Port and Terminal Transactions
Norbridge has been involved in nearly all of the major North American port - terminal transactions that occurred between 2005 and 2008. Specifically, Norbridge provided maritime due diligence support to its clients as they prepared bids for the acquisition of terminal portfolios involving container, multipurpose, and cruise facilities at a number of U.S. Atlantic and Gulf Coast ports, as well as selected Canadian container terminals in the ports of Halifax, Montreal and Vancouver. Examples are highlighted below:
  • An off-shore entity's sale of its North American terminal assets (terminal concessions and operations in 12 U.S. Atlantic and Gulf Coast ports)
  • The potential acquisition of a North American-based terminal operator's holdings
  • An international terminal operator's sale of its Port of New York (two terminals) and Vancouver, Canada (two container terminals) assets
  • A North American-based marine terminal operator's sale of its Port of New York and Port of Prince Rupert container terminals
  • The proposed sale of a terminal operator's Canadian container terminal operations
Approach
Though the nature of support varies by assignment and type of financial institution (e.g., bank, private equity group, pension fund operator), Norbridge has provided a wide-range of maritime consulting services for clients seeking port and container terminal due diligence assistance, such as:
  • Market and competitive analyses of each port/terminal combination within the context of current and emerging trends in North American container trades and port industries
  • The preparation of comprehensive financial models and pro forma analyses designed to determine the financial performance and feasibility of each port/terminal combination under a wide range of demand, competitive, pricing, investment and financing scenarios
  • Completing detailed reviews of each port/terminal's operations, capacity, capital investment plans and customer contracts
  • Preparing due diligence reports and advising clients on valuations of each bid opportunity
Value Added (Example)
Norbridge assisted a global investment group in its successful acquisition of an off-shore company's North American marine terminal assets. Norbridge's responsibilities included preparing market and competitive analyses of the 23 port operations which included container, cruise and auto facilities. Norbridge also prepared alternative demand forecasts and worked with the investment group to develop a financial model for the various port operations and then used the model to project future financial and capital investment performance. Finally, Norbridge addressed capacity and operating issues for the major container, cruise, and auto terminal operations and supported the investor group's procurement of debt financing.
